• Any conduct or content of any third party on the Site
• Any unauthorized access, use, or alteration of your transmissions or content
• Any investment decision you make based on information on the Site

CLOUDWORX CAPITAL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless CloudWorx Capital, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

10. Confidentiality of Pitch Materials

When founders, entrepreneurs, or companies submit pitch decks, business plans, financial projections, or other materials to CloudWorx Capital for investment consideration, we treat such submissions as confidential business information subject to reasonable confidentiality expectations. However, we are not bound by any non-disclosure obligations unless we have executed a separate written non-disclosure agreement with you. We routinely receive information about many companies operating in similar spaces, and we cannot guarantee that our independent evaluation of other opportunities will not result in investment decisions that are similar to or competitive with your business.

11. Regulatory Status and Investment Activity

CloudWorx Capital LLC is organized as a limited liability company under the laws of the State of New York. Depending on the nature of our investment activities at any given time, we may be required to register with or be exempt from registration with the U.S. Securities and Exchange Commission or other regulatory authorities. Nothing on this Site constitutes an offer to sell, a solicitation of an offer to buy, or a recommendation regarding any securities. Any fund interests or investment vehicles managed by CloudWorx Capital are offered only pursuant to separate subscription documentation and only to investors who meet applicable eligibility requirements under securities laws.

12. Governing Law and Jurisdiction

These Terms and any disputes arising from or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising from or relating to these Terms or the Site shall be brought exclusively in the federal or state courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

13. Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, that cannot be resolved through good-faith negotiation between the parties shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, with arbitration conducted in New York, New York. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the conclusion of arbitration. You and CloudWorx Capital agree that any arbitration shall be conducted on an individual basis only, and not as a class or collective action.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent to the greatest extent possible.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CloudWorx Capital with respect to your use of the Site and supersede all prior and contemporaneous agreements, representations, warranties, and understandings relating to your use of the Site.
